Terms & Conditions


PLEASE READ CAREFULLY BEFORE SIGNING THE CITIDEXLI, INC. ADVERTISING FORM. THESE TERMS AND CONDITIONS (THE “AGREEMENT”) GOVERNS YOUR RELATIONSHIP WITH CITIDEXLI, INC. (“CITIDEX”). BY ADVERTISING WITH CITIDEX, YOU (THE “BUSINESS,” “YOUR” OR “YOU”) HEREBY AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THE AGREEMENT SET FORTH BELOW.


1. Term and Termination

This Agreement shall begin on the date set forth on your Advertising Form and continue for the term identified therein (the “Term”). Thereafter the Term shall renew for successive periods of equal length (each a “Renewal Term”). In the event you terminate the Agreement prior to the expiration of the Term, or CitiDex terminates the Agreement due to your breach thereof, you shall pay CitiDex the full amount that would have been due for the remainder of the Term had you not terminated the Agreement or had CitiDex not terminated the Agreement due to your breach. Such payment is due and payable immediately upon termination. Notice of Business’ termination of this Agreement will not be effective unless delivered in writing (a) via fax to (631)-549-6663 or (b) via registered mail to CitiDexLI, Inc., 313 Main Street, 2nd Floor, Huntington, NY 11743, and in either case you must identify your business name, contact phone number, and the desired extent of terminated products and/or services. Any such termination will require a minimum of two weeks notice during which time Business’ advertising may remain on the CitiDex website. CitiDex may terminate the Agreement at any time for any or no reason by providing Business written notice via fax or registered mail of such termination in accordance with the terms of this Agreement.


2. Business’ Responsibilities

Business agrees to provide all artwork and text to be used in advertising content. Business represents and warrants to CitiDex that (i) Business owns or has adequately licensed all artwork, text, trademarks, business names and/or other materials that it provides to CitiDex (“Business’ Content”), and none of the Business’ Content shall infringe upon the intellectual property rights of any third party; (ii) Business’ performance hereunder will not cause a material breach of any agreement to which it is a party; (iii) Business has the right and authority to enter into this Agreement and perform the obligations herein; (iv) Business will at all times comply with all applicable laws and regulations; and (v) Business will not provide to CitiDex, and Business’ website does not contain, any content that is obscene, pornographic or otherwise offensive in nature.


3. Editorial Discretion

All advertising content must comply with CitiDex’s Editorial Guidelines. CitiDex reserves the right to modify any elements of Business’ advertising, including placement, size, format, text or any other elements and to move the listing within the directory listing categories on CitiDex’s website. CitiDex also reserves the right not to display, or to remove, any of Business’ advertising on the CitiDex website, in accordance with CitiDex’s Editorial Guidelines and subject to inventory availability and CitiDex’s normal course of business.


4. Creative License & Usage

Unless otherwise specified by Business, CitiDex will create and implement all advertising creative under this Agreement. Business grants CitiDex an irrevocable (during the term of this Agreement) right and license to copy, display and modify Business’ logo, trademark, and/or all Business Content provided in the creation of and for inclusion on Business’ advertising on the CitiDex website, as well as for use in CitiDex’s marketing or promotional materials, online postings, emails, or any other media, and you agree that you shall not be entitled to payment associated with CitiDex’s use of the foregoing. CitiDex will retain ownership of all newly created properties under this agreement.


5. Agencies

If Business executes an Advertising Form on behalf of a third party advertiser as an agency, Business hereby represents and warrants to CitiDex that such third party advertiser (“Third Party Advertiser”) is contractually bound by the terms of this Agreement and as such is subject to all obligations and restrictions applicable to Business hereunder and all representations and warranties made by Business hereunder. In furtherance of the foregoing, Business agrees to indemnify, defend and hold harmless CitiDex, its subsidiaries, affiliates, agents, partners, officers, directors, employees, and vendors and suppliers from and against any loss, cost, claim, injury or damage (including reasonable attorneys’ fees) resulting from claims or actions arising out of or in connection with a breach of this Agreement by any Third Party Advertiser.


6. Credit Terms

6.1 Payment
If Business chooses to pay via credit card, your charges will occur monthly at the end of each one (1) month billing cycle, and you agree that CitiDex reserves the right to charge you for the first month and any applicable fees on the date your advertising is made available on the CitiDex website. Unless otherwise directed by Business, credit card information will be retained for automatic billing purposes. If Business chooses to pay via check, your charges will occur quarterly at the end of each three (3) month cycle. All checks that are returned as NSF will include the maximum fees allowed by the state of New York and added to Business’ account. No partial payment will be allowed on an NSF check, including fees. The above fees shall continue to accrue during the Term of the Agreement. Business agrees to make payments in accordance with these terms regardless of receipt of invoice or bill.


6.2 Design Fees & Other Charges
All initial design fees outlined in the Advertising Form will be due upon acceptance of this Agreement before work will commence. Changes at any time to textual content or to fix mistakes or errors will be rendered at no charge. Once the Business’ advertising has been made available on the CitiDex website for two (2) business days or more, CitiDex may, at its sole discretion, charge an additional fee of $60 per hour accrued in half-hour increments for any and/or all new changes to artwork and/or additions to textual content that are requested by the Business. If this Agreement is terminated before design work has been completed, account balance will be credited towards future products and/or services with CitiDex. Business will be responsible for any other charges or commitments set forth in the Advertising Form or that you otherwise agree to.


6.3 Collection Fees
Accounts more than thirty (30) days past due may, at CitiDex’s discretion, incur a $25 late fee and Business shall be liable for its entire outstanding balance and shall reimburse CitiDex for all costs incurred related to any attempted recovery thereof, including but not limited to reasonable attorneys fees, and any costs of collection agencies. In addition, CitiDex may charge Business interest on a monthly basis equal to twelve percent (12%) per annum for invoices not paid within sixty (60) days from the date thereof. Business understands and agrees that non-payment of invoices in two consecutive billing periods will be deemed to be a breach of this Agreement allowing CitiDex, at its sole discretion, to cancel Business’ account, remove any or all listings and advertisements, and requiring Business to pay the amounts that would have been due for the remainder of the Term as further described above.


7. Indemnification

Business shall fully protect, indemnify and defend CitiDex and all of its agents, officers, directors, shareholders, suppliers, partners, employees and each of their successors and assigns (“Indemnified Parties”) and hold each of them harmless from and against any and all claims, demands, liens, damages, causes of action, liabilities of any and every nature whatsoever, including but not limited to personal injury, intellectual property infringement, fraud, deceptive advertising, violation of any state or federal laws or regulations, property damage, attorneys’ fees and court costs, based upon or arising in any manner, directly or indirectly, out of or in connection with or in the course of or incidental to (i) any breach of Business’ representations, warranties, or obligations as provided in this Agreement , and (ii) Business’ advertising, products or services, or the provision thereof to consumers, Business’ website, and any Business Content and any video or audio content submitted to CitiDex by Business, REGARDLESS OF CAUSE OR OF ANY FAULT OR NEGLIGENCE OF CITIDEX OR THE INDEMNIFIED PARTIES AND WITHOUT REGARD TO CAUSE OR TO ANY CONCURRENT OR CONTRIBUTING FAULT, STRICT LIABILITY OR NEGLIGENCE, WHETHER SOLE, JOINT OR CONCURRENT, ACTIVE OR PASSIVE BY CITIDEX OR THE INDEMNIFIED PARTIES.


8. Limitations of Liability

IN NO EVENT WILL CITIDEX BE LIABLE TO BUSINESS FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE OR SPECIAL DAMAGES, LOST REVENUE, LOST PROFITS OR LOSS OF GOODWILL. IN NO EVENT WILL THE TOTAL AGGREGATE LIABILITY OF CITIDEX TO BUSINESS EXCEED THE AMOUNT OF FEES ACTUALLY PAID BY BUSINESS TO CITIDEX DURING THE PRECEEDING SIX (6) MONTHS, REGARDLESS OF THE BASIS OR FORM OF CLAIM.


9. Exclusive Remedies

If CitiDex breaches the obligation hereunder to fulfill any product(s) and/or service(s) or breach any other obligation hereunder, CitiDex will make commercially reasonable efforts to fulfill such product(s) and/or service(s) at a later date or otherwise reasonably cure such breach up to a value equal to or better than the original agreement. Alternately, Business may opt to terminate the Term (in writing with advance notice, according to the above terms of this agreement) without further payment than what is already owed on Business’ account. THE FOREGOING CONSTITUTES CITIDEX’S SOLE OBLIGATION AND BUSINESS’ SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH BY CITIDEX OF THIS AGREEMENT (EITHER DIRECTLY OR THROUGH A FAILURE OF PERFORMANCE BY ANY NETWORK SITE).


10. Disclaimer of Warranties & Guarantees

BUSINESS ACKNOWLEDGES AND AGREES THAT CITIDEX’S SERVICES ARE PROVIDED TO BUSINESS ON AN “AS IS” BASIS, AND CITIDEX DISCLAIMS ANY AND ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. FURTHERMORE, EXCEPT AS EXPRESSLY PROVIDED IN THE AGREEMENT, CITIDEX DISCLAIMS ALL WARRANTIES AND GUARANTEES REGARDING AN ADVERTISEMENT’S POSITIONING OR THE NUMBER OF IMPRESSIONS ON THE CITIDEX WEBSITE, THE QUALITY OR TIMING OF CLICK-THROUGHS, CLICK-THROUGH RATES, CONVERSIONS OR OTHER PERFORMANCE OR RESULTS FOR ANY ADVERTISING TO THE FULLEST EXTENT PERMITTED BY LAW.


11. Other Terms

This Agreement contains the entire contract of the parties with respect to the subject matter of this Agreement, and supersedes all prior negotiations, agreements and understandings with respect thereto. The terms of this Agreement and the Advertising Form may be changed by CitiDex from time to time, and any notices hereunder shall be made, by providing you with email or written notice, or by posting any such changes on the CitiDex website, and you agree to be bound by any changes. If any provision of this Agreement is held unenforceable by the Business, then such provision will be modified to reflect the parties' intention. All remaining provisions of this Agreement shall remain in full force and effect. Business acknowledges and agrees that CitiDex may from time to time send surveys and other marketing-related correspondence to Business via electronic or standard mail, and that Business may opt-out from receiving such correspondence in the future. In addition, Business agrees that it is required to maintain current and operational contact information on file with CitiDex. Business will be liable for any attorneys’ fees and costs if CitiDex takes any legal action to enforce this Agreement. The laws of the State of New York (excluding the laws and principles with respect to conflicts of law) govern this Agreement. Business hereby consents and agrees that the state or federal courts in Suffolk County, New York, are the exclusive forum for litigation of any claim by Business arising under this Agreement, and will submit to sole and exclusive jurisdiction in Suffolk County, New York, and hereby irrevocably waive and relinquish any right to bring, or cause to be brought, any such action, or to have any such action brought, in any judicial or administrative forum outside Suffolk County, New York, regardless of Business’ national or international status or location.
